Terms of Service
These Terms are an agreement between you and Homie Lab Inc., the operator of CatalogSteward.
- The free diagnostic is informational and does not modify Shopify.
- Paid managed work begins only after scope and fees are confirmed in writing.
- You remain responsible for reviewing and approving catalog changes.
- Do not provide data or credentials you are not authorized to share.
1. Agreement and eligibility
By accessing catalogsteward.com or using the free diagnostic, you agree to these Terms. If you use CatalogSteward for an organization, you represent that you have authority to bind it. CatalogSteward is intended for business users who are legally capable of entering a contract. If you do not agree, do not use the service.
2. The service
CatalogSteward provides a browser-based supplier file diagnostic and may provide managed catalog assessment, mapping, conversion, validation, delivery, and monitoring services. Features described as pilots, planned connections, or recurring managed services may be limited, changed, or unavailable. We may improve or modify the free service without notice, but changes to paid work are governed by the applicable written order.
3. Free diagnostic
The diagnostic reads supported CSV and XLSX files locally in your browser and generates automated findings. It does not upload the file to us, connect to Shopify, or create, update, or delete store data. Findings depend on detected headers and source values and may contain errors or omissions. They are a starting point for review, not a certification that a file is valid, complete, secure, or safe to import.
4. Managed services and orders
Paid work requires a written proposal, order, statement of work, or other confirmation accepted by both parties. That document will identify scope, deliverables, assumptions, fees, currency, taxes, timing, dependencies, and any recurring terms. If it conflicts with these Terms, the accepted order controls for that engagement. A website price is a starting estimate and is not a binding offer.
5. Your responsibilities
You are responsible for:
- having the rights and permissions needed to provide source files, catalog data, images, credentials, and instructions;
- keeping backups and exportable copies of your store and catalog data;
- reviewing samples, mappings, reports, and proposed changes before approval or import;
- checking prices, tax treatment, inventory, product claims, regulatory information, and intellectual-property rights;
- protecting credentials and promptly reporting suspected unauthorized access; and
- complying with Shopify's terms and all laws applicable to your products and business.
6. Acceptable use
You must not use CatalogSteward to violate law or third-party rights; process unlawfully obtained data; distribute malware; probe or disrupt the service; bypass access or usage controls; misrepresent affiliation; or submit secrets, payment card data, health information, government identifiers, or other highly sensitive personal information unless we expressly agree in writing to appropriate handling.
7. Customer data and confidentiality
You retain ownership of data and materials you provide. You grant us a limited right to use them only to assess, provide, secure, and support the requested service and meet legal obligations. Each party will use reasonable care to protect non-public business information received from the other and will use it only for the engagement, except where disclosure is required by law or the information is independently developed, already known without restriction, or publicly available through no breach.
8. Our intellectual property
CatalogSteward, its software, design, documentation, methods, reports, branding, and underlying technology are owned by Homie Lab Inc. or its licensors. Except for the limited right to use the service under these Terms, no rights are transferred. You may use deliverables created specifically for you for your internal catalog operations, subject to payment of applicable fees and any order-specific terms.
9. Fees, taxes, cancellation, and refunds
Fees and payment terms are stated in the accepted order. You are responsible for applicable taxes other than taxes on our income. Because managed onboarding involves reserved time and custom work, amounts already earned or work already performed are non-refundable unless the order or applicable law says otherwise. Recurring services may be cancelled according to the notice period in the order; cancellation does not erase amounts already due.
10. Third-party platforms
Shopify and other supplier, storage, commerce, or network services are independent third parties. Their availability, APIs, formats, policies, fees, and actions are outside our control. Shopify is a trademark of Shopify Inc. CatalogSteward is not endorsed by, sponsored by, or affiliated with Shopify Inc.
11. Disclaimers
To the maximum extent permitted by law, the website, free diagnostic, and any pilot features are provided as-is and as-available. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that automated findings will identify every problem or that a converted catalog will produce any commercial result. Paid deliverables will be provided with the level of care expressly stated in the applicable order.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, opportunities, or data, arising from these Terms or CatalogSteward. Our aggregate liability for the free service will not exceed CAD $100. Our aggregate liability for paid services will not exceed the amount you paid us for the service giving rise to the claim during the 12 months before the event. These limits do not apply where liability cannot legally be limited.
13. Indemnity
You will defend and indemnify Homie Lab Inc. and its personnel against third-party claims, damages, and reasonable costs arising from data or materials you provide, your products or store content, your unlawful or unauthorized use of the service, or your breach of these Terms. This obligation does not apply to the extent a claim was caused by our breach, negligence, or wilful misconduct.
14. Suspension and termination
We may suspend or terminate access where reasonably necessary to address security, unlawful use, non-payment, material breach, or risk to the service or others. You may stop using the free service at any time. Termination does not affect accrued payment obligations or provisions that by their nature should survive, including ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms.
15. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario. Nothing in these Terms removes a non-waivable right or remedy you may have under applicable law.
16. Changes
We may update these Terms by publishing a revised version and changing the effective date. Changes apply prospectively. If a change materially affects a paid recurring service, we will provide reasonable notice where required. Continued use after the effective date constitutes acceptance of the revised Terms.
17. General
These Terms and any accepted order are the entire agreement about the applicable service. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. You may not assign the agreement without our consent; we may assign it in connection with a reorganization, financing, or transfer of the relevant business.
